1. Purpose and acceptance#
These Terms govern access to and use of WAM's mobile application, web application, website and related services (the “Platform”). By creating an account or accepting these Terms, the user confirms that they have read, understood and accepted them, together with the Privacy Policy, the Pricing and Payments Policy, the Cancellation Policy, the Contracts and Electronic Signature Policy and the Community Guidelines, which form part of these Terms.
Acceptance is linked to the current version and is recorded with date and time, account identifier, accepted version, IP address and the device's user agent.
A person acting on behalf of a company or organization represents that they have sufficient authority to bind it. If you do not accept these Terms, you must not use the Platform.
2. Definitions#
- Artist: an individual, ensemble or entity offering artistic services through WAM.
- Contractor: an individual or legal entity that seeks, selects or engages artistic services.
- User: any Artist, Contractor or authorized person using WAM.
- Artistic contract: an agreement entered into directly between an Artist and a Contractor for an activity, project, production or event.
- Content: text, images, audio, video, documents, messages, profiles, calls for artists, reviews and any other material added by a User.
3. Eligibility#
The Platform is intended exclusively for persons aged 18 or over with legal capacity to contract. Persons acting on behalf of others must have sufficient authority. WAM may request documents to verify identity, authority, activity or eligibility.
Users must provide true, current and complete information; keep it up to date; safeguard their credentials; and immediately notify [email protected] of any unauthorized access. Users may not transfer their account or allow anyone else to impersonate them.
4. WAM services and role of the Platform#
WAM allows Users, among other things, to:
- create and view professional profiles;
- discover artists and save favorites;
- publish and view content and calls for artists;
- apply to opportunities;
- communicate through chat and notifications;
- generate a draft contract from a template or attach their own contract;
- negotiate, version, approve and electronically sign contracts;
- mark contracts as completed and leave reviews; and
- request help and report issues.
WAM acts as a technology intermediary. It is not an employer, agent, representative, attorney-in-fact or partner of the Users; it does not select on their behalf; it does not guarantee the quality, legality, availability or outcome of any performance; and it is not a party to the Artistic contract. WAM does not provide legal, tax, immigration, employment or accounting advice.
5. Free use#
In this version, use of the Platform is free of charge. WAM charges no fees, subscriptions or commissions and does not process payments between Users. Fees and any other financial terms of the Artistic contract are agreed and paid directly between the Artist and the Contractor, outside WAM. Details are set out in the Pricing and Payments Policy.
6. Profiles, verification and visibility#
Each User is responsible for the accuracy of their profile and for holding the rights and authorizations required for what they publish. Some fields may be mandatory to enable contracting, publish calls for artists or access certain features.
Verification may require email confirmation, profile data, an identity document or passport, its reverse side where applicable, a selfie holding the document and, for Contractors, documentation of the organization and its authorized representative. To support the review, WAM performs a limited search for public professional presence on the internet, as described in the Privacy Policy. The final approval or rejection is always made by an authorized administrator; the search result or the absence of public results does not decide on its own.
While a profile is unverified, pending or rejected, the User may access the general features available but may not create contracts, publish calls for artists or start chats. The 24 to 48 hour timeframe shown after submission is an operational estimate, not a guarantee; it may be extended if data is missing, there are inconsistencies or further checks are required. If the User replaces documents or changes essential data, WAM may restart the review.
A “verified” profile indicator means only that WAM completed the review defined at that time. It is not an endorsement, a guarantee of solvency, a professional license, a quality certification or a guarantee that the person will not later act fraudulently.
Identity documents and other private documents are never shown publicly. Their processing is governed by the Privacy Policy.
7. Artists' obligations#
The Artist must:
- truthfully describe their identity, experience, repertoire, availability and capacity to provide the service;
- hold the licenses, permits, visas, insurance and authorizations required;
- disclose technical, health or travel restrictions relevant to the performance;
- review each proposal and contract in full before approving or signing it;
- perform the Artistic contract professionally and in good faith; and
- declare and pay the taxes, contributions and employment or professional obligations that apply to them, and issue any invoices or receipts required by law.
The Artist retains independence in how they perform their services within the terms agreed and applicable law. Nothing in these Terms creates an employment relationship between the Artist and WAM.
8. Contractors' obligations#
The Contractor must:
- identify themselves correctly and evidence their authority when acting on behalf of an organization;
- clearly describe the project, dates, venue, role, financial terms, logistics and requirements;
- not publish calls for artists that are discriminatory, misleading, unlawful or that conceal essential terms;
- review the contract before sending it and have authority to enter into it;
- pay the Artist directly what was agreed, on the dates, in the currency and in the manner set out in the Artistic contract;
- obtain the event permits, insurance, licenses, visas or authorizations for which they are responsible; and
- respect the Artist's labor, safety, intellectual property, image and other rights.
9. Calls for artists and applications#
Only enabled Contractors may publish calls for artists. Each listing must be accurate, lawful and kept up to date. An application shares the Artist's professional profile with the Contractor; it does not guarantee selection or engagement.
Contractors may not disclose or reuse applicants' data for purposes incompatible with the call. Artists may not submit false information, apply in an automated way or harass the publisher.
10. Communications and notifications#
WAM may send operational communications in the app, by push notification or by email, for example about security, verification, messages, contracts, applications or material changes to these terms. These communications are necessary to provide the service and are not advertising. In this version WAM does not send promotional communications.
Disabling device notifications may prevent timely alerts but does not change the User's contractual obligations.
11. Contracts between Users#
Users may generate a draft from WAM's template or upload their own contract. The parties are responsible for checking that the data and clauses reflect their agreement and the applicable law, including the financial terms and payment method, which they agree directly between themselves. Use of a template is not legal advice and does not guarantee it is sufficient for a specific case.
Versions, change requests, approvals, signatures and marking contracts as completed are governed by the Contracts and Electronic Signature Policy. An Artistic contract may be binding before its electronic signature if the applicable law recognizes another valid form of consent; Users should therefore avoid ambiguous statements and seek advice when in doubt.
12. Payments between Users and taxes#
WAM does not receive, hold, safeguard, transfer or refund Users' money. It does not act as a collection or payment agent, does not offer escrow services and does not provide advances or financing. Any payment between Artist and Contractor is made directly between them, by the means they agree and at their sole responsibility.
Each User is responsible for their taxes, invoicing, withholdings and regulatory obligations arising from the Artistic contract.
13. Cancellations and disagreements between Users#
Cancellations are governed by the Artistic contract, the Cancellation Policy and applicable mandatory law. Before a binding agreement exists, the Platform may allow a proposal to be withdrawn or rejected.
Disagreements between Artist and Contractor, including those relating to payments, must be resolved between them in good faith or before the competent authorities. WAM may receive reports of non-performance or misconduct through its help channels and take action on accounts under the Community Guidelines, but it does not decide on funds or act as arbitrator of the Artistic contract.
14. Content and license to operate WAM#
Users retain their rights in their Content. By adding it to WAM, the User grants WAMMUSIC, LLC a non-exclusive, worldwide, royalty-free license limited to hosting, reproducing, technically adapting, displaying and transmitting that Content in order to provide, protect and improve the Platform. The license ends when the Content is deleted or the account is closed, except for copies that must justifiably be retained under the Privacy Policy and Content already shared with other Users in a conversation, application or contract.
The User warrants that they can grant this license and that they hold permissions from authors, performers, producers, persons depicted and other rights holders. Publication on WAM does not transfer to other Users any artistic or commercial exploitation rights unless expressly agreed.
15. WAM's intellectual property#
The Platform, its trademarks, software, design, databases and own content belong to WAMMUSIC, LLC or its licensors. The User is granted a limited, personal, non-exclusive, non-transferable and revocable permission to use the Platform in accordance with these Terms.
Copying, modifying, selling, decompiling, bulk-extracting data, circumventing technical measures or using WAM's trademarks without authorization is prohibited, except as permitted by mandatory law.
16. Conduct, moderation and measures#
Users must comply with the Community Guidelines. WAM may investigate signals or reports, limit visibility, remove content, suspend features or close accounts where reasonably necessary to protect people, comply with the law or respond to violations.
Where the law and safety permit, WAM will inform the User of the measure, its main reasons and how to request a review. Urgent measures may be taken before hearing the User. WAM will retain evidence where there is a legal obligation or a pending claim.
17. Third-party services#
The Platform uses third-party services for specific features, such as sign-in with Google or Apple, push notifications (Firebase Cloud Messaging), email delivery (Resend), error diagnostics (Sentry), hosting, web search (Microsoft Bing) and artificial intelligence features (DeepSeek and, when configured, Anthropic). The full list, with purpose and location, is in the Privacy Policy. Use of some features may be subject to those third parties' terms.
The AI assistant and biography translation send the relevant text to an external provider. Do not include identity documents, financial data, trade secrets or sensitive data. The assistant may suggest links to external services (for example transport, food or accommodation); their use is subject to those services' terms and WAM is not responsible for them.
18. Availability and service changes#
WAM will seek reasonable availability but does not guarantee uninterrupted or error-free operation. It may carry out maintenance, fix bugs, modify features or discontinue them for technical, legal or business reasons. Where a change materially affects existing rights, reasonable notice will be given.
If WAM decides to introduce paid features, commissions or payment processing, it will give at least 30 days' notice, and those terms will apply only to Users who expressly accept the updated Terms and Pricing and Payments Policy.
19. Warranties and liability#
The Platform is provided free of charge, “as is” and “as available”, without warranties beyond those that the law imposes on a non-waivable basis. WAM does not guarantee that a User is suitable, that an engagement will be entered into or performed, that a payment between Users will be made, or that all content is accurate.
To the maximum extent permitted by applicable law, WAM is not liable for indirect, incidental, special or consequential damages, loss of profits, loss of opportunity or loss of data, nor for the acts, omissions, breaches or payments of other Users or third parties.
Nothing in these Terms excludes or limits liability for willful misconduct or fraud, gross negligence where the law does not permit its exclusion, death or personal injury attributable to WAM, or the non-waivable rights that the law of the User's country of residence grants them as a consumer or data subject.
20. Indemnity#
To the extent permitted by law, the User will hold WAMMUSIC, LLC harmless from third-party claims arising from their Content, their breach of these Terms or the law, or an Artistic contract to which they are a party. This clause does not apply to claims caused by WAM's breach and does not limit consumers' non-waivable rights.
21. Suspension, account closure and retention#
Users may request the closure and deletion of their account at any time by writing to [email protected] from the email address associated with it. In this version the app does not include a self-service delete button; the request is handled manually in accordance with the Privacy Policy. WAM may suspend or close accounts for serious or repeated violations, fraud, security risk, legal requirement or inability to provide the service.
Closure does not extinguish obligations already assumed between Users. WAM may retain contracts, signature records, audit logs and communications for as long as necessary under the Privacy Policy.
22. Consumer rights#
If the User is a consumer, they retain all rights granted by the mandatory law of their country of residence, including, where applicable, rights of withdrawal or cancellation in respect of the Artistic contract. Since WAM is not a party to the Artistic contract and does not charge for the Platform in this version, those rights are exercised against the other party to the Artistic contract, as explained in the Cancellation Policy.
23. Changes to these Terms#
WAM may amend these Terms due to legal, technical or service changes. It will give reasonable advance notice of material changes and request new acceptance where appropriate. Changes introducing charges or payments are subject to the notice period of at least 30 days set out in section 18. The version applicable to an event is the one in force at that time, without affecting contracts already entered into between Users.
24. Governing law and jurisdiction#
These Terms are governed by the laws of the State of Florida, United States of America, and by applicable United States federal law, without regard to conflict-of-laws rules. Before bringing a claim, the parties will try to resolve it in good faith by writing to [email protected].
Disputes with WAM are submitted to the competent courts located in Orange County, Florida, United States.
Nothing in the foregoing deprives a consumer User of the protection afforded by the mandatory rules of their country of residence, including consumer protection and personal data protection laws (for example, the European Union or United Kingdom General Data Protection Regulation, or Latin American laws such as Uruguay's Law No. 18,331), nor of their right to bring claims before the authorities or courts of their domicile where that law grants it.
If any provision is held invalid, the remaining provisions remain in effect. Failure to exercise a right is not a waiver. Users may not assign these Terms without WAM's consent; WAM may assign them to a successor in the event of a reorganization, merger or sale of the business, giving prior notice.
