The signature captured on WAM is a simple electronic signature (also called a standard or common electronic signature). It is not an advanced or qualified electronic signature, it is not issued with a certificate from an accredited provider and it is not equivalent to notarization.
1. Scope#
This Policy governs the generation, upload, negotiation, approval, signature, retention, download and completion of contracts between Artists and Contractors through WAM.
By accepting it, each User agrees to use electronic means to express consent, receive documents and keep evidence. Each party can download the final document for their records.
2. WAM's role#
WAM provides tools and a base template, but it is not a party to the Artistic contract, does not represent either party, does not provide legal advice and does not intervene in payments between the parties. Artist and Contractor are responsible for determining whether the document reflects their intent, complies with applicable law and contains the necessary terms: fees and payment method, permits, taxes, copyright, immigration, safety, insurance and others.
WAM's template organizes the data supplied by Users and does not replace professional review in complex transactions. A Contractor who attaches their own contract warrants that they may use it and that it contains no unlawful or malicious material.
Creating a contract requires both Artist and Contractor to have verified profiles. Verification reduces certain impersonation risks but does not guarantee absolute identity, current authority, solvency or future performance. Each party remains responsible for checking the counterparty according to the risk of the transaction.
3. Contract types#
3.1. Contract generated by WAM#
The Contractor completes the engagement fields and the Platform inserts the contractual and profile data into the current template. Before sending it, the Contractor must review the full document and correct any incorrect data by creating a new version.
3.2. Own contract attached#
The Contractor may upload their own document. WAM identifies that the source is a Contractor contract. Uploading a new version does not erase previous history. Both parties must be able to review the file before accepting or signing it. The final attached version must be in PDF format to enable signing within WAM.
4. Financial terms#
The financial terms in the contract (fees, currency, expenses, deadlines and payment method) are freely agreed by the parties and are performed directly between them, outside WAM. In this version WAM charges no commissions, does not process payments, does not hold funds and does not provide advances. See the Pricing and Payments Policy.
5. Versions and traceability#
Each substantial change creates a new identified version. The history records version number, date, author, role, action, comments and status. Previous versions are kept to evidence the negotiation and cannot be silently replaced.
A version sent to the Artist is locked for direct editing. Change requests, counteroffers or corrections give rise to a new version. Approvals of a previous version have no effect on the new one.
6. Negotiation and final approval#
The Artist may accept, request changes to or reject a version sent. The Contractor may respond and create another version using the available actions.
Editing is locked as final when both parties approve the same version. If either party proposes later changes, a new version must be created and both approvals obtained again.
Approval on the Platform evidences agreement with the identified content but does not replace a signature where the parties or the law require one.
7. Consent to electronic signature#
Each signer declares that:
- they are the person identified in their account or their authorized representative;
- they reviewed the full version displayed before signing;
- they understand that drawing their signature and confirming the action expresses their intent to be bound by that version;
- they accept that the document and electronic records may be used as evidence; and
- they have the means to download or request a copy.
If you do not wish to sign electronically, do not confirm the action; you may agree with the other party on another signing method outside WAM.
8. Legal nature of the signature used#
WAM's signature consists of a handwritten stroke drawn on screen, linked to an account, name, role, contract version, date and time and technical evidence. It is a simple (common) electronic signature.
Many legal systems recognize legal effects for simple electronic signatures, although, if challenged, the party relying on it may have to prove its validity and authorship. For example, in the United States the federal E-SIGN Act and state laws based on the Uniform Electronic Transactions Act (including Florida's) recognize electronic signatures; in the European Union the eIDAS Regulation provides that an electronic signature may not be denied legal effect solely because it is electronic; and in Latin America laws such as Uruguay's Law No. 18,600 contain equivalent rules.
This signature is not an advanced or qualified electronic signature, is not equivalent to notarization or in-person identity verification, and does not absolutely guarantee authorship. Some acts may by law require a special form. The parties may agree on an additional advanced, notarial or in-person signature when the risk, amount or legislation makes it advisable.
9. Technical evidence#
To link the signature to the document and preserve its integrity, WAM records:
- contract identifier and exact version;
- signer's account, name and role;
- image of the handwritten stroke;
- date and time;
- IP address and user agent;
- cryptographic hash of the signature;
- cryptographic hash of the contract; and
- prior approvals and events.
These records are processed in accordance with the Privacy Policy. The hash makes it possible to detect changes but does not, by itself, prove identity, capacity or absence of coercion.
10. Signing order#
The flow is:
- final approval by the Contractor and the Artist of the same version;
- Contractor signature;
- Artist signature;
- generation of the PDF with both signatures and associated evidence; and
- availability for download by both parties.
Until both signatures are recorded, the status shows signature pending. Once signed by both parties, the contract is locked and cannot be edited. If PDF generation fails, the parties should check the status before acting.
11. Contract completion and reviews#
After the event date, either party may mark a signed contract as completed on the Platform. Marking it as completed indicates that, according to that party, the performance took place; it is not a waiver of claims or a confirmation of payment, since payments are made outside WAM. If a party disagrees with the contract being marked as completed, it may report this to [email protected].
Once the contract is completed, the Contractor may leave a review of the Artist with a rating of 1 to 5 stars and an optional comment. Only one review is allowed per completed contract. Reviews must comply with the Community Guidelines.
12. Authority and capacity#
Anyone signing on behalf of an organization warrants that they have sufficient authority and that the representative's details are correct. WAM may request documents, but its review does not replace each party's duty to verify authority when the risk warrants it.
No one may sign on behalf of another person, share credentials, forge a stroke or use a compromised account. Any suspicion must be reported immediately to [email protected].
13. Integrity, corrections and annexes#
A signed contract is not modified. Any later correction must be made by an amendment, annex or new contract identifying the previous document, the change, its effective date and the parties' acceptance or signature.
Errors detected before signature require a new version. WAM may correct a purely technical display error without altering the content, keeping a record when it affects the final file.
14. Retention and access#
Both parties can view and download the signed contract while their accounts are active. Keeping your own copy is recommended. WAM retains the contract, its versions and signature evidence according to the criteria in the Privacy Policy.
Closing an account does not automatically delete contracts or evidence that must be retained. To request a copy or report an access problem: [email protected].
15. Language and discrepancies#
The contractual version chosen by the parties governs. Text entered by Users is not legally translated by WAM.
If there is a discrepancy between the on-screen summary and the PDF, the parties must stop the process, report it and not sign until the version is corrected.
16. Lawful purpose and third-party rights#
WAM may prevent or remove contracts with a manifestly unlawful, fraudulent or discriminatory purpose or one contrary to third-party rights. The parties are responsible for repertoire licenses, copyright and performers' rights, image, recording, broadcasting and subsequent exploitation.
Engaging a performance does not in itself grant permission to record, reproduce, broadcast or commercially exploit the image, performance or repertoire. Those rights must be expressly agreed with their holders.
17. Contract law and disputes between the parties#
The parties should agree in the Artistic contract on the law and jurisdiction applicable to their relationship. If they do not, these will be determined under the applicable rules of private international law; WAM cannot guarantee that a choice is valid in every country. The governing law and jurisdiction of WAM's Terms govern each User's relationship with WAM, not the Artistic contract.
Disputes about the authorship of a signature, authority, consent or content may be reported to [email protected]. WAM may preserve the records and cooperate with valid legal requests, but it does not act as a court or arbitrator between the parties.
